Hi ranjeetmemane. Welcome to Windowsbbs! :)

Try downloading and installing the update manually from the microsoft update website. Also shut down all backround programs that are running in the system tray in the taskbar to avoid any conflicts with the installation. If that doesn't work then download and run Dial a Fix from here. After you run the program remove and restrictive policies if the program finds any. After that, check all the checkboxes under Windows Update and hit the Go button. After Dial a Fix finishes, then close the program and reboot the computer. After your computer reboots try installing that Windows Update again.

Find error codes associated with the failing update in the WindowsUpdate.log.

To open this log, go to Start > Run and type

    %windir%/WindowsUpdate.log

    and press OK.

    Post relevant info here.

For more information see: How to read the Windowsupdate.log file
