I did a search and found some advice to another person with the same problem I have been having since last year...I did get some suggestions then, but none solved the problem. I was getting a IRQ conflict(?) with my "wave device for voice modem" and got a MSDOS compatable error msg....anyway, I never got above 79% or so on system resources. Tonight I found the answer! It was posted from last year to another, but said if you get a yellow exclamation mark next to a device, reinstall the driver OR go to safemode and see if the device is listed twice, as sometimes that doesn't appear in normal mode...I did, the wave device for modem was listed twice and my zip drive was listed three times!

I removed them, rebooted, and reinstalled them. Now everything appears right, I dont get the MSDOS compatability error, and my resources went to 91%! (and it is a little faster!) Thanks everyone!
