STOP error

I.m trying to upgrade a HP8710 to Win XP Pro, have received the following message:
"STOP: c000021a fatal system error.
The Windows logon process system process terminated unexpectedly with a status of 0xc0000354 (0x00000000 0x00000000). The system has been shut down. "

I've updated the BIOS from HP, fdisk'd and formatted the hard drive, and even tried installing Win ME first (which works fine) and then upgrading to XP, but with no result.

Any help to this would be greatly appreciated.
