So, I've actually done the following a few times:
"Installing Microsoft .NET Framework 2.0 Service Pack 2 Security Update for Windows 2000, Windows Server 2003, and Windows XP (KB974417) (update 1 of 1)... "
I will run CC cleaner and Eusing before and after any new install or uninstalls. Doing this actually removes this update and the updates ready notification returns.
With XP, I realize that there probably won't be many more security or service pack updates. The thing is; my pc slowed down significantly when this update was installed. I'm wondering if I should care.

Support of XP has been announce to continue at least until and I think through 2014. There may be no further Service Packs to XP itself but there certainly will be additional security updates to XP.

Unless you are using some "other" software that depends upon one or more portions of the .NET Framework family (1.1, 2.0, 3.0, 3.5) then you don't need any of them.

Have you tried to remove it with Windows Add/Remove function in the Control Panel? If it wont remove it then you have some "other" software installed that depends upon it. Removing it with CCleaner wont remove the dependent software and Windows will continue to indicate it is a needed update.

A suggestion, go to the Microsoft Update web site (Start>Windows Update) then click on the Custom button. This will bring up a list of High-priority updates (if there are any) followed by a list of Optional updates (if there are any) followed by Hardware (driver) updates (if there are any) for your PC OS.

If the .NET 2.0 SP2 update is listed in the High-priority updates list then this is a confirmation you have some dependent software installed.

If the .NET 2.0 SP2 update is listed in the Optional updates list then you should be able to ignore the "updates ready notification ".

A great many of us do not allow Windows to choose which optional software to install or update. We go the custom route so we can pick and choose what to install.

    Laura,

It didn't occur to me when I wrote that post that I use the Classic Menu view and you might not be able to get to Windows Update the same way I do (Start>Windows Update). I have been using it so long that I forget how the normal XP Start Menu looks.

Another way to get there is go to the Control Panel then double click on Automatic Updates. A smallish panel will come up that controls how and when you receive updates to windows. If you should decide at some time to pick and choose which and when to install updates it is this panel where you would make the change from Automatic to "Notify me but don't automatically download or install them. ".

Anyway, near the bottom of that panel is a line that says: "Install updates from the Windows Update Web Site. ". If you click on the bold underlined portion (Windows Update Web Site.) of that line then it should cause Internet Explorer to initiate and automatically go to the Windows Update web site.

Additionally, you could start up IE (you have to use IE for the Windows Update web site even if you have another browser as your default browser) then paste in this link: http://www.update.microsoft.com/windowsupdate/v6/default.aspx?ln=en-us
