I inherited a desktop that part of a small corp. network. It has a CD-reader
but no floppy drive. I started to clean the disk of unused progs/files, etc.
but found that almost everything was protected. I feel at this point the
solution would be to format the C-disk and re-install Win2k. Can someone tell me if "Ultimate Boot CD" has the capability to allow me to format the
hard file(C-disk)? UBCD is HUGE and I don't want to download it if it
    does not have this capability.

The Win2k cd is bootable and will let you delete the partitions and recreate them and then Format...

you might be able to have the windows 2000 install disc format drive c
if the drive is not bootable by itself check out bootdisk.com
if you want to you can make a bootable windows 98 boot disc
remove the partition of drive c - if its fat32 its a dos partition
if its ntsf its a non dos partition ( number 4 i believe)
the computer has to boot off your cd - you may have to go into the bios to change boot order
if you are having real trouble you can overwrite the drive - it takes a fair bit of time
either tools at the maker of the drive - seagate / maxtor or western digital
faster - but a third party free that will take longer is killdisk
