First buy a crossover UTP CAT5 network cable and connect the two PC via that. You cannot use a normal cable directly between two PCs.

In network settings ensure both have TCP/IP installed. On the 98 machine you will also need ot make sure the File and Print service is installed.

Set up the IP addresses manually (not the default setting).

    Set one machine as:
    IP address: 10.0.0.1
    Subnet Mask: 255.255.255.0
Leave the gateway and DNS blank.

    Set the other machine as:
    IP address: 10.0.0.2
    Subnet Mask: 255.255.255.0
Leave the gateway and DNS blank.

With the machines connected and on, you should be able to see both PC in network neighbourhood. If not try "pinging" the other (at a command prompt type "ping 10.0.0.1" then "ping 10.0.0.2" - you should get replies from both on both machines)

You need to set us two users on both computers before you can share files. User1 and User2 for example - though you can get away with using the one user as long as you use the same username and password on both machines.

To share files you need to right click on the folder you want to share and select Share. Give the folder a share name and enable sharing. It should then appear when you double click on the PC in Network Neighbourhood

That is a summary. See how far you get with that information. Post again for clarification or if you get stuck. But don't forget to try using the Help system first.
