I got a new Dell computer for Xmas from which had XP installed and came with an XP reinstall disk.

My old computer has W-XP which I bought and I am going to take the components out of it for other projects and it will be no longer usuable...like the C drive as a bckup in my new Dell.

I want to install and use W-XP on my old W-Me laptop, how can I use my old W-XP CD that I purchased?

Despite all the horror stories both anticipated and contrived about activation, I have heard nothing but good things about calling the MS number when you get to the activation page and explaining what you want to do.

Others have successfully done what you are planning. Just explain to MS that the XP will be on only one machine, as you explained it here.

Also, when your last activation was more then 140 days ago, you'll be able activate with no problem.
