Control Alt Delete / Task Manager Fails to show on Desktop,

I am having a problem raising the Task Manager when I hit Control-Alt-Delete, or Control-Shift-Esc, or right click on task bar.

It "comes up" only as an active window on the menu bar and there is a CPU reading that appears in the System tray (which is the only way I have found to close the program).

AVG Virus and Spyware catch nothing but this is something that smells like a virus. It dodesn't appear to have any malicous activity...yet.

I can run a Hijackthis if that would help. I am hoping somebody has an idea how to fix this...

Control Alt Delete/Task Manager Fails to show on desktop

    task manager.exe is in C:\windows\system 32
drag to desktop and/or create a shortcut and copy it and paste to desktop
then click and it will come up on your desktop
