I have XP and it has my old companies ghost image installed. I have the admin password but I am not able to change the desktop background, or tool bar settings.

    Any ideas?

What happens/doesn't happen when you try to change?

    :) Maybe a trick.

I expect you have another XP computer, it might need to be XP Pro. On that computer, run Start -> All Programs -> Accessories -> System Tools -> Files and Settings Transfer Wizard. Only select to transfer the Settings. Put the transfer file onto removable media. Log in as Administrator on the "new" computer and run the transfer wizard to install the settings.

Worked for me recently, good luck.
