I don't know what the problem is here. You do not have an OEM version, so you can (legally) upgrade/replace your system.

As noted, if you have an OEM version it is NOT legal to move the software to new hardware, and in some cases certain upgrades aren't allowed.

Now what MS activation center will allow in practice will be another matter (as noted here), but again, since you have an upgrade (=retail) version, you shouldn't have any problems.

I think that by changing tack I must have created some confusion. Sorry about that.

My first concern was about whether or not changing nearly all my hardware components would debar me from going on using my existing upgrade (retail) copy of XP Home. This has been thoroughly explored.

However, I then asked what drawbacks buying an OEM version of XP x64 Pro would have - which is a rather different question. You've said that OEM versions are tied to one set of hardware and aren't transferable - but what about when an OEM version of Windows is (as in this case) being retailed independently of any hardware?

Also, you warned against x64 per se, and I wondered why.

    I can't answer that.

If there was ever a dead-end, XP x64 is it. You can't upgrade (if you wanted to in the future) to Vista x64.

Also XP x64 has less driver support than Vista x64.

On the OEM/activation side (from my understanding), the activation makes a record of the motherboard, the graphics, the HDD and the CPU. Three of the four of those can be upgraded (numerous times I think), once all four have been changed, it is then another computer and it will no longer activate.
