Download and run HijackThis then save the log and copy n' paste it here.

Don't try fixing anything just yet though.

You need to give it a little time. Everyone here is a volunteer and most have jobs so visit the forum in their spare time.

Most of the folks who are good at reading and understanding Hijackthis logs visit the security section but may never wander into the 2K section.

So I'm moving this thread to security. If it later turns out to be a non-security/spyware/virus/whatever issue, we can move it back.

As far as I can tell, you have a clean log. Other than a couple of items not needed at startup, nothing fishy. Go to start>run and type msconfig, hit enter. On startup tab, look for an entry called Sychronization Manager or mobsync.exe. Uncheck it and OK out. Allow restart. That is for synchronizing offline web pages and is set to run at logon. Just a shot here at 'maybe' that causing your problem. See nothing else in log that would.
Check the event viewer for any errors that may give clues. Click Start, point to Settings, and then click Control Panel.
Double-click Administrative Tools, and then double-click Event Viewer.

Is it under warranty? May be easiest to say "Fix It ".

    reeboot

if it is a new system and you have 2000 pro, here is something you might want to take a look at, a possible IRQ conflict, mabye a
bios setting of sorts, check you video display to see if pci is conflicting your agp, or vice versa, also check out you bios shadowing and so forth, allot of times bios setting will create conflits on new pc's and it will cause a freeze or reboot, another thing, if you bios has a pc health, watch the voltage rate and heat and speed in the health section of bios.
