shelw --What are you doing when this freezing happens? On the internet, gaming, running your word processor, etc.? Any error messages?

Is the ScanDisk problem occuring when you manually start ScanDisk or is this the ScanDisk message that often occurs on reboot after you have powered off while Windows is still runnning? If the problem with ScanDisk is when you manually start ScanDisk, simultaneously click Control+Alt+Delete. Highlight and then individually EndTask on all items except Explorer and Systray. Make sure your screen saver, if you have one, is disabled. Also disable your broadband connection and Scheduled Tasks.
Now try to ScanDisk. If successful, reboot.

Try running it in safe mode and post back.

Running ScanDisk may not be the solution to whatever is causing your freezes. It would be best to work on defining the problem.
P.S. Normally I would not mention this without a better definition of the problem, but I believe WinMe has System Restore. You should keep this in mind if the problem is not defined soon.
