This is usually caused by versionitis or a corrupt system or driver file, which are not loaded when going into Safe Mode. I would first recommend running the System File Checker, Start\Run, type in SFC and press Enter. However, I do hope you have the Windows setup files copied onto the hard drive, for when SFC finds and wants to restore a system file, your CD drive may not be working in Safe Mode.
If needed, boot with a boot floppy choosing with CD rom support and do these commands at the prompt to get them onto the drive. Watch the screen for the drive letter for the CD as it will not be the normal letter in dos, and replace the X below with it.
    c:
    md\win98
    copy X:\win98\*.* c:\win98

If SFC does not help, press F8 when booting and choose the Step by Step confirmation bootup.

It looks to me, that you didn't post a full error message.
    Usually it looks like this:
fatal exception 0e has occured in module XXX at o17f:BFF56EDF
    What module?
Also "fatal exception" errors are not caused by Windows. They are just reported by Windows. That said, your error is caused by some other application, being corrupted.
    Please, post a full error.

No, that's exactly the way it comes up. I've tried replacing my ram, and battery, still no luck. I havent installed anything new in months. It just happened all of a sudden. I'm stumped!! I even tried to reinstall windows, not a clean boot. Could it be a hardware issue??

Did you try selective startup, adding one more application at every restart, until that error will occur?

I'm not sure, if we understand each other about selective startup. Using msconfig/startup, you uncheck all entries, except just few necessary to run your computer. Restart. Is the error there? If not, checkmark one more entry, restart. Is the error there? And so on. One by one.
    Also...
Does your error appear as BSOD?
Since you can boot into a safe mode, I would try to find a newer driver for your video card.
