A piece of your hardware may not be compatible with XP?
Check that all the HW is compatible and make sure you have ready XP driver updates for all the HW (where applicable). You also may have a Motherboard incompatibility with XP which could be driver related or BIOS related. But first I would remove ALL of your hardware cards, Printer and any other external devices except obviously the graphics card, Mouse and keyboard which are required for the PC to boot to a useable state. Try upgrading and if successfull add ONE card at a time updating the drivers and rebooting to make sure you can boot etc.

The other better upgrade path of course is to reformat (boot off the XP disk), reformat and repartition the disk.
