Replacing a 2003 Server Domain Controller

We just purchased a new server to take the role of our DC. Currently, we are running a 2003 server with Exchange. What I would like to do is make the new server the DC, demote the old server, but still use the old server to run MS Exchange. Can someone please give me detailed instructions on what I need to do from start to finish? I've read a lot of posts and there are so many variations of what need to be done. So again, what i am trying to accomplish:

1. Make the new server the primary DC
2. Replicate all AD from old DC to new DC
3. Demote old DC
4. Connect Exchange on the old DC to the new DC (not move exchange)

I want to make sure I have all my ducks in a row before I start making changes and have the company down for an extented time. My ideal time would be to accomplish this over the course of a weekend and have everything back up and running on Monday morning. Any help would be greatly appreciated! Thanks!
